Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Powder platform, website at powder.ai, and all related services (collectively, the "Service") provided by Powder ("we", "our", or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

2. Account Registration

To access most features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at security@powder.ai if you suspect unauthorized access to your account.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to violate any applicable law, regulation, or third-party rights

  • Attempt to reverse engineer, decompile, or extract source code from the Service

  • Use the Service to generate, store, or transmit malware, spam, or harmful content

  • Interfere with or disrupt the integrity or performance of the Service

  • Access or attempt to access another user's account or data without authorization

  • Resell, sublicense, or redistribute access to the Service without our prior written consent

  • Use the Service to build a competing product or service

  • Circumvent any usage limits, rate limits, or access controls

4. Your Content and Data

You retain ownership of all content, data, and materials you submit to or connect with the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to access, process, and display Your Content solely to provide and improve the Service.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent that you have all necessary rights and permissions to connect third-party data sources to the Service.

5. AI-Generated Outputs

The Service uses artificial intelligence to generate answers, drafts, summaries, and suggested actions ("Outputs"). While we strive for accuracy and cite sources where possible, Outputs may contain errors, omissions, or inaccuracies. You acknowledge that:

  • Outputs are provided "as is" and should be reviewed before use

  • Outputs do not constitute professional, legal, financial, or medical advice

  • You are responsible for any decisions or actions taken based on Outputs

  • We do not guarantee the completeness, reliability, or suitability of any Output

6. Subscriptions and Billing

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date.

All fees are non-refundable except as required by applicable law or as otherwise stated in writing. We reserve the right to change pricing with 30 days' prior notice.

7. Intellectual Property

The Service, including its software, design, documentation, branding, and all related intellectual property, is owned by Powder and protected by applicable copyright, trademark, and other laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8. Third-Party Integrations

The Service may integrate with third-party applications and services. Your use of those integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

9. Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your information.

10. Availability and Support

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may perform scheduled maintenance, deploy updates, or experience outages beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

11. Limitation of Liability

To the maximum extent permitted by law, Powder and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Powder and its officers, directors, employees, and affiliates from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

You may close your account at any time from your workspace settings. We may suspend or terminate your access to the Service if you violate these Terms or if we determine, in our sole discretion, that your use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

14. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English. You agree to waive any right to a jury trial or to participate in a class action.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.

16. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right. These Terms constitute the entire agreement between you and Powder regarding the Service.
